This Policy is established to govern the application of Artificial Intelligence ("AI") technologies in the operations and management of Joincare Pharmaceutical Group Co., Ltd. (the "Company") and its subsidiaries, to promote the safe, compliant, prudent, transparent and environmentally responsible use of AI, and to mitigate associated risks, having regard to the Company’s specific circumstances.
I. General Principles
The Company is committed to upholding the principles of legal compliance, human-centricity, safety and controllability, fairness and impartiality, transparency and trustworthiness, and green low-carbon development. The Company takes a coordinated approach to advancing AI adoption and risk management, enabling AI to drive the Company’s high-quality development.
II. Data Privacy Protection
The Company respects and safeguards personal data, personal information and trade secrets involved in the use and development of AI. The Company strictly complies with applicable laws and regulations governing data security, personal information protection and privacy, and implements necessary management and protective measures for relevant data. Without authorization, no personal information, sensitive information, trade secrets, non-public business information or other legally protected data may be entered into external AI tools or third-party models.
III. Cybersecurity and Information Security
The Company integrates AI systems, models, tools, interfaces and related services into its cybersecurity and information security management framework, with enhanced controls over access management, identity authentication, privilege control, security monitoring and incident response. With respect to third-party AI platforms, models and services procured or used in cooperation, the Company monitors their cybersecurity, data security and system stability to mitigate information security risks arising from AI applications.
IV. Fairness, Impartiality and Bias Prevention
The Company is attentive to risks of bias, discrimination and misinformation that may arise in AI data, models and outputs. For AI applications that may affect the rights and interests of employees, customers, patients, suppliers, business partners and other stakeholders, the Company adheres to a principle of careful assessment and appropriate use. Where necessary, human review and corrective measures shall be applied to avoid potential bias resulting from inappropriate AI outputs.
V. Human Oversight and Intervention
The Company maintains necessary human oversight and intervention mechanisms for critical decisions. For matters involving significant business decisions, financial disclosures, compliance judgements, quality and safety, medical and health issues, legal affairs and other important or sensitive matters, AI-generated outputs shall serve as reference only and shall not replace professional human judgement or final decision-making. The Company may, depending on the specific context, conduct human review, verification, correction, suspension or discontinuation of AI system operations, outputs or applications.
VI. Transparency and Explainability
The Company ensure the transparency of AI system and explainability of AI decisions. For AI-generated content, AI-assisted analytical results and important outputs involving AI, the Company adopts appropriate labelling, disclosure or recordkeeping measures in accordance with specific application contexts. AI outputs that lack reasonable basis, exhibit abnormal reasoning or cannot be adequately explained shall be used with caution and shall not serve directly as final references.
VII. Accountability and Responsibility Management
The Company establishes an AI accountability management mechanism that clearly defines the responsibilities of business units, technical support departments and relevant management functions, to ensure that the outcomes produced by AI models are traceable, manageable and accountable. Business departments are responsible for the compliance, appropriateness and application of AI results within their respective business contexts. Relevant functional departments shall carry out technical management, security assurance, compliance review and supervisory inspection in accordance with their respective duties. Violations of this Policy or management failures resulting in adverse consequences shall be subject to accountability proceedings in accordance with applicable Company regulations.
VIII. Defining Boundaries for AI Applications
The Company advocates for reasonable, proportionate and prudent use of AI, with clear delineation of what AI is permitted and prohibited to do. AI shall not exceed its authorized scope to intervene in critical matters that require independent human judgement, nor shall it be applied in high-risk or sensitive scenarios in the absence of effective controls. The Company shall, in accordance with different business scenarios, define the applicable scope, use restrictions and management requirements for AI tools.
IX. Green and Low-Carbon Requirements
The Company advocates for consideration of resource efficiency and environmental impact throughout the use and development of AI. Subject to the requirements of safety, compliance, quality and business needs, the Company gives priority to AI models, platforms, service providers and data centre solutions with higher energy efficiency, lower resource consumption and reduced environmental impact. The Company encourages reducing the ecological footprint of AI applications through appropriate model selection, proportionate usage and usage optimization.
X. Prohibited AI Systems and Applications
The Company prohibits the use, deployment or development of the following AI systems or applications:
Systems that engage in the autonomous judgement and manipulative behavior, inducement or deception;
Systems that exploit the vulnerabilities of specific groups for purposes of exploitation, misguidance or undue influence;
Systems used for social scoring, social ranking, or differential treatment based on improper criteria;
Systems that conduct unauthorized biometric identification, facial recognition surveillance or other biometric surveillance;
Other AI systems and applications that violate applicable laws and regulations, regulatory requirements, ethical standards or Company policies.
XI. Appeals and Review Mechanism
Where AI-generated outputs or AI-assisted decisions have a material impact on relevant individuals, users or other affected third parties, the Company supports such parties in submitting objections or requests for review in accordance with applicable rules. The Company will conduct human review based on the specific circumstances and, where necessary, provide explanations, correct outcomes, suspend application or take other appropriate remedial action.
XII. Training and Continuous Improvement
The Company will continuously improve its AI governance mechanisms in response to business developments, technological advances and regulatory changes, and will provide timely training on AI compliance, security, ethics and responsible use to raise employees’ awareness and competency in the responsible use of AI. Issues, risks and deficiencies identified in the course of AI use will be promptly addressed, optimized and subjected to continuous improvement.
XIII. Supplementary Provisions
This Policy has been reviewed and approved by the Sustainability Committee of the Board of Directors of Joincare Pharmaceutical Group Co., Ltd. The Sustainability Committee bears overall responsibility for the implementation, oversight and periodic review of this Policy, and is responsible for providing guidance on its revision. Relevant functional departments of the Company are responsible for the specific implementation, interpretation and day-to-day administration of this Policy in accordance with their respective duties.
This Policy shall come into effect from the date of its issuance.
