I. Purpose

Joincare Pharmaceutical Group Industry Co., Ltd. and its subsidiaries (hereinafter referred to as "Joincare" or "the Company") expect all suppliers to conduct business in an ethical manner, complying with all applicable laws, regulations, and internationally recognized environmental, social, and governance (ESG) standards. The Company also hopes that suppliers will do their utmost to communicate this concept to their upstream and downstream enterprises in the supply chain, promoting the sustainable development of the industry.

We expect you, as a supplier of our group, to support, accept, and implement the requirements of the "Joincare Pharmaceutical Group Industry Co., Ltd. Supplier Code of Conduct" (hereinafter referred to as this Code). This Code sets forth the main principles that you, as a supplier of our group, should follow in your business activities.

 

II. Scope of Application

This Code applies to all entities and their subsidiaries that supply goods or services to our Company (hereinafter referred to as "Suppliers"). Furthermore, Suppliers should ensure that their own suppliers appropriately comply with this Code. Suppliers should also ensure that the Company has the right to audit their own suppliers' compliance with this Code and actively cooperate with the Company's audits. Within this Code, "employees" specifically refers to the employees of the supplier.

 

III. Lawful Operation

Suppliers must comply with all applicable laws and regulations when conducting business, including matters relating to product/service quality/safety, business ethics, labor practices, environment, anti-corruption, data protection, and intellectual property rights.

 

IV. Labor Rights and Human Rights

  1. No Child Labor

1.1 Suppliers shall not employ persons under the age of 16 unless permitted by national or local law and in accordance with the International Labour Organization's guidelines. When employing employees aged 16 to 18 years old, suppliers should ensure that their working environment and working hours comply with national or local laws and regulations.

1.2 Suppliers should comply with laws and regulations regarding minimum working age.

1.3 It is prohibited to employ employees of any age, including apprentices or vocational school students, in violation of local regulations concerning minimum working age and compulsory education age.

  1. Employee Employment Conditions

2.1 Suppliers' employment terms, including recruitment, training, working conditions, remuneration, benefits, promotion, discipline, contract termination, or retirement, should be based on individual qualifications, performance, skills, and experience.

2.2 Suppliers should fairly pay wages and provide benefits to all employees in accordance with applicable laws and regulations, and there should be no unfairness.

2.3 Suppliers should ensure that all paid working hours and wages meet at least the minimum legal wage or a relatively higher minimum standard of local industry pay.

2.4 Suppliers should pay overtime pay and bonuses as required by law, pay all legally mandated benefits, and shall not illegally deduct wages.

  1. Anti-discrimination and Harassment

3.1 Direct or indirect discrimination and harassment based on the following shall be prohibited, and equal opportunities and fair treatment in employment and work shall be ensured: : Race, color, age, gender, sexual orientation, disability, pregnancy, language, religion, political belief, association membership, marital status, national or social origin, social status, property, lineage, or other circumstances. In addition, employees or prospective employees shall not be forced to undergo discriminatory medical examinations.

  1. Freedom of Association

4.1 Suppliers should respect employees' right to form and join trade unions and to bargain collectively in a peaceful and lawful manner under applicable law.

4.2 Suppliers should comply with all applicable laws relating to freedom of association and collective bargaining.

4.3 Suppliers shall not harass, intimidate, or retaliate against employees for freely associating or engaging in collective bargaining.

4.4 Suppliers should maintain confidentiality for employee grievances.

  1. Reasonable Working Hours

5.1 Working Hours Suppliers should comply with all applicable laws relating to regular working hours, overtime, and benefits.

5.2 Suppliers should provide all employees with documents relating to remuneration, working hours ( including overtime ) wage standards, benefits, and any deductions.

5.3 Suppliers should provide statutory rest days, public holidays, and paid leave.

5.4 Normally, employees should have at least one day off every 7 day, and overtime shall not exceed the limits stipulated by national or local laws.

  1. Voluntary Employment

6.1 Suppliers shall not use forced or compulsory labor, including but not limited to debt bondage. Suppliers should ensure that the relationship between employees and the company is one of free choice and without coercion.

6.2 Sup pliers should allow employees the right to leave their employment after giving reasonable notice. Employees should not be required to pay deposits, identity documents, or similar documents to obtain or retain employment.

 

V. Health and Safety

  1. Suppliers should have a sound health and safety system in place, with specific preventive measures to maintain the health and safety of their employees.
  2. Suppliers should provide employees with a safe and healthy working environment.
  3. Suppliers should properly manage the handling of hazardous materials and equipment.
  4. Suppliers should provide systems and training that help prevent accidents and injuries.
  5. Suppliers should take appropriate measures to conserve resources and energy and avoid waste.
  6. Suppliers should properly handle and store hazardous materials and waste, and dispose of them safely and legally.
  7. Suppliers should provide employees with labor protection supplies that meet national or industry standards and regularly conduct safety production education and training for employees.

 

VI. Business Ethics

  1. Suppliers must act with the utmost integrity, honesty, and transparency, and comply with all applicable anti-bribery, anti-corruption, and anti-unfair competition laws and regulations.
  2. All acts of corruption, extortion, and embezzlement are strictly prohibited. Under no circumstances may suppliers directly or indirectly, through third parties, offer or receive any bribes, kickbacks, or other illegal payments. Suppliers must comply with all applicable anti-corruption laws and regulations.
  3. Suppliers must not conceal from the company any situation that may constitute a conflict of interest, including but not limited to company employees holding positions or / potentially enjoying any economic benefits in any business of the supplier.

 

Seven, Environmental Protection and Green Development

  1. Suppliers should endorse the concept of green and low-carbon development, actively engage in green design, innovate green manufacturing processes, select green materials, promote green packaging, implement green transportation, achieve green environmental protection throughout the entire business cycle, minimize the emission of waste, waste gas and wastewater, improve the efficiency of energy and resource use, and reduce the damage to the ecological environment caused by work and production.
  2. Suppliers should monitor and manage their greenhouse gas emissions and take effective measures to reduce their greenhouse gas emissions, including reducing energy consumption, increasing the proportion of renewable energy use, and strengthening the application of clean energy projects.
  3. Suppliers should support preventive measures against environmental damage, assume more environmental responsibilities, and develop and promote environmentally friendly technologies.
  4. Suppliers should reduce their environmental impact, establish an environmental management system, and Health Yuan encourages suppliers to ISO14001 certification
  5. If, due to special reasons, it is unavoidable to cause damage and obstruction to the environment or public interests, the necessary administrative approvals or permits must be obtained before operation.
  6. Suppliers should strive to create a green office environment and promote the green upgrading of industry infrastructure.
  7. Suppliers should comply with laws and regulations related to biodiversity protection, continuously reduce the adverse impact of their operations on biodiversity, and avoid operating in protected areas or areas with significant biodiversity.

 

Eight, Other Responsibilities

  1. Suppliers shall respect and protect the intellectual property rights of Joincare Pharmaceutical Group Industry Co., Ltd. and all its subsidiaries, and shall not disclose them without permission.
  2. Suppliers are obligated to communicate the content of this Code to their employees.

 

Nine, Other

1 This Code does not cover all matters, and shall be implemented in accordance with relevant national and local laws and regulations.

2 We reserve the right to revise, amend, or abolish this Code at any time for any reason. We will regularly review this Code and revise it as necessary. The latest version of this Code is disclosed on the company website ( https://www.joincare.com ), if this Code changes, we will promptly notify employees of the latest version.
